What is a Company Chop?
In Hong Kong, the company chop—also known as a company seal or stamp—remains a common feature of corporate life. While no longer legally required under the Companies Ordinance, it is widely used to signify company authorisation on contracts, resolutions, and other formal documents. Form and Function
A company chop typically takes one of two standard forms:
- Circular Chop The circular chop is the most commonly used format. It usually contains the full registered name of the company (in English, Chinese, or both) arranged around the perimeter, with optional elements such as the company registration number or a central emblem. This format is often used for general corporate purposes and is recognised as the default stamp for many institutions.
- Rectangular Chop The rectangular chop is generally used for signing documents. It often includes the phrase “For and on behalf of [Company Name]” followed by a space for the authorised signature. This format is practical for contracts and declarations, where it accompanies a signature to indicate formal execution.
While neither format is legally mandated, their use is customary and often expected by counterparties, banks, and government departments—particularly for paper-based submissions.
Governance and Control
Given its role in document execution, the company chop should be treated as a controlled item. Access is typically restricted to authorised personnel, and its use governed by internal protocols. Misuse or unauthorised stamping can expose a company to reputational or legal risk, especially where the chop is perceived to confer legitimacy.
